2. Client Responsibilities

- Grant necessary access to platforms (e.g., ad accounts, CMS, analytics tools)
- Review deliverables and communicate feedback in a reasonable time frame
- Make payments in accordance with the agreed terms
Failure to cooperate or provide access may delay or hinder the effectiveness of our services.
3. Payment Terms
- All services are billed based on agreed terms (project-based or monthly retainer)
- Invoices are typically due within 15 days of receipt, unless otherwise specified
- Late payments may incur a late fee of 1.5% per month on the outstanding balance
We reserve the right to suspend services if payment is not received on time.
4. Intellectual Property
Unless otherwise agreed, any original content, designs, or materials created by Good Soil Digital remain our intellectual property until full payment is received. Clients receive a license to use such materials solely for their business purposes.
5. Confidentiality
We agree to keep all client data, business information, and strategies confidential and will not share any proprietary information without written consent.
6. Results and Guarantees
While we aim to improve performance and ROI, we do not guarantee specific outcomes such as search rankings, ad performance, or revenue increases. Marketing success depends on many external factors beyond our control.
7. Cancellations and Termination
Either party may terminate an agreement with 30 days written notice. Upon termination:
- Any work completed will be invoiced and must be paid
- Access to shared assets or platforms will be revoked as needed
- Outstanding balances remain due
8. Limitation of Liability
Good Soil Digital is not liable for indirect, incidental, or consequential damages arising from the use of our services or website. Our maximum liability shall not exceed the amount paid for services in the last 30 days.
9. Website Use
By using our website, you agree not to:
- Use it for unlawful purposes
- Attempt to gain unauthorized access to any part of the site or systems
- Distribute malicious software or engage in harmful behavior
We may modify or suspend site access at any time without notice.
10. Changes to Terms
We may update these Terms at any time. Continued use of our services or site constitutes acceptance of the revised Terms.
